Terms and Conditions of Participation in cplace Day 2022


collaboration Factory AG, Arnulfstr. 34, 80335 München (below referred to as “COLLABORATION FACTORY”) organizes the “cplace Day” which will take place on October 20, 2022.

The cplace Day is a hybrid event which aims to provide customers and partners of COLLABORATION FACTORY as well as users of cplace and project management experts with an opportunity to share experiences and knowledge and learn together. cplace Day exclusively targets companies and is not meant for consumers.

These Terms and Conditions of Participation lay down your rights and obligations as a participant in cplace Day. You will be advised about these Terms and Conditions when you book your participation in cplace Day. By submitting your binding booking request you agree to these Terms and Conditions.

1. Registration and participation

1.1 You are entitled to participate in cplace Day if you are an adult over 18 and have registered for participation in cplace Day through the COLLABORATION FACTORY websites or the event portals used by COLLABORATION FACTORY, provided that COLLABORATION FACTORY has confirmed your valid registration by e-mail (below “Participant”). A distinction is made between digital participation and on-site participation at cplace Day. 

1.2 Those persons who have registered and been admitted for on-site participation in cplace Day will timely receive all relevant information for on-site participation via e-mail communication. On the day of the event, Participants will sign in on-site with the COLLABORATION FACTORY and receive a name badge intended for them.

1.3 Those persons who have registered for digital participation at cplace Day will receive the login credentials and a link to the login page by e-mail on the day of the event. On the login page, the Participant enters his or her name, e-mail address and token and, if applicable, an individual PIN. After logging in, the Participant will automatically be announced with their registration name in the chat feature of COLLABORATION FACTORY (e.g., “John Doe has joined” or similar). Following successful log-in, each Participant may watch the live stream available on the cplace Day landing page and communicate with other Participants using the chat feature.

1.4 Recordings of cplace Day will be available to Participants after cplace Day has ended. Chats between Participants will not be recorded and cannot be accessed subsequently. Furthermore, Participants may download copies of handouts and PDF documents from cplace Day from the page providing access to the cplace Day recordings.

2. Tools enabling participation

COLLABORATION FACTORY will use the following software tools to execute cplace Day:

2.1 The event platform HyperCon for live streaming the event. The Participants can communicate with each other via the chat function of the platform.

2.2 Vimeo for representing recordings

2.3 Wonder for digital networking using flexible virtual video group spaces

2.4 The Terms of Use of the providers of the above software products apply in addition to these Terms and Conditions. The Terms of Use may be accessed using the following links for HyperConVimeo and Wonder, respectively.

3. Rules of conduct

3.1 In connection with cplace Day you will comply with these Terms and Conditions of Participation as well as all applicable laws and regulations. In particular, during cplace Day you are prohibited from creating any chat statements that violate the law or are otherwise offensive.

3.2 You may contribute your own ideas and content to chats during cplace Day. However, you may not use any content and ideas which are protected by third-party property rights and are not intended for disclosure to third parties.

3.3 It is your responsibility to ensure that your participation in cplace Day will not violate any of your existing obligations vis-à-vis your employer. This shall apply in particular to any obligations of confidentiality that apply to you.

3.4 COLLABORATION FACTORY, its employees and legal representatives as well as its vicarious agents if any will have virtual domestic authority during cplace Day. Furthermore, COLLABORATION FACTORY reserves the right to exclude you from the event (including retroactively) in case you violate these Rules of conduct.

3.5 The health and safety of event Participants are a top priority. In order to be able to offer all Participants the greatest safety possible and at the same time a great event experience with networking on-site, the event will be held in compliance with the legal safety and hygiene guidelines applicable at the time. Furthermore, COLLABORATION FACTORY reserves the right to implement additional hygiene measures on the day of the event, which will be communicated as early as possible before the event. COLLABORATION FACTORY recommends that Participants adhere to now proven safety standards for their own protection and that of others. These include continuing to voluntarily wear a mask and maintaining a minimum distance. If you have any signs of illness that may indicate infection with SARS-CoV-2, please refrain from attending our events.

4. Information on image, audio and film recordings

4.1 Please note that COLLABORATION FACTORY and its representatives may create, process and distribute image, film and audio recordings during the event. By participating in the event, the Participants declare their consent that the image, audio and film recordings made in connection with the event may be used for marketing purposes by COLLABORATION FACTORY without entitlement to remuneration and may be disseminated in its marketing channels.

The legal basis for this is GDPR, Art 6 (1) (f) . Our legitimate interest is the promotion and media coverage of the event.

5. Rights of use

5.1 You will retain (co-) ownership of any intellectual property rights in any ideas and content (below “Contributions”) you develop and contribute in connection with cplace Day.

5.2 You grant COLLABORATION FACTORY an exclusive, transferable, global, indefinite right of use of the Contributions from the time they are conceived of, covering all known and future forms of use.

5.3 Notwithstanding any existing, registered industrial property rights to the contrary (such as patents), COLLABORATION FACTORY shall have an unlimited right to utilize any know-how it obtains during cplace Day, in particular the concepts, procedures and methods underlying the Contributions.

5.4 You are prohibited from using any logos or trademarks of COLLABORATION FACTORY or sponsors.

6. Confidentiality and privacy protection

6.1 You agree to treat all documents and information you receive from COLLABORATION FACTORY in connection with cplace Day as confidential, protect them against unauthorized access by third parties, and use them exclusively for the purposes of cplace Day.

6.2 All personally identifiable data of Participants will be treated in compliance with applicable privacy protection laws. The Data Privacy Policy of COLLABORATION FACTORY, accessible at https://www.collaboration-factory.de/en/privacy, fully applies.

7. Liability

7.1 COLLABORATION FACTORY will not be liable for any Contributions created by Participants in connection with cplace Day. Therefore, any warranty or liability will be excluded.

7.2 Due to long-term planning, changes in the event program are possible. COLLABORATION FACTORY therefore reserves the right to make changes to the program (even at short notice), including a change of speakers. Should the event be cancelled for reasons beyond COLLABORATION FACTORY's control (e.g. due to official or other bans/measures related to the COVID19 pandemic, force majeure or other valid reasons that COLLABORATION FACTORY acts upon due to its welfare duty towards its Participants , even if they were not caused by law, e.g. very high COVID19 incidence figures), liability and damage claims against COLLABORATION FACTORY are excluded.

7.3 COLLABORATION FACTORY shall be fully liable for all damages caused wantonly or willfully by COLLABORATION FACTORY, its legal representatives or vicarious agents. Furthermore, COLLABORATION FACTORY shall be fully liable for damages resulting from culpable injury to life, limb or health.

7.4 COLLABORATION FACTORY’s liability for all cases of simple negligence shall be excluded.

8. Miscellaneous provisions

8.1 Any contractual terms agreed between you (or your company) and COLLABORATION FACTORY, or in the absence of such terms, the General Terms and Conditions of COLLABORATION FACTORY, shall apply in addition to these Terms and Conditions of Participation, but have a lower priority.

8.2 The legal relationship between the Parties hereto shall be governed exclusively by German law excluding the United Nations Convention on Contracts for the International Sale of Goods.

8.3 The exclusive place of jurisdiction shall be Munich, provided that such a stipulation between the Parties is lawful.
